Terms & Conditions

1. Object of the Contract

The purpose of this Agreement is to regulate the rights and obligations of Members participating in the SKAI1 Rewards Program. Participation is

voluntary, free of charge, and provides Members with Rewards (“Rewards”) in proportion to their Purchases. These Rewards may include cashback,

Loyalty Points, discounts, or other promotional rewards.

Participation does not constitute a membership in any legal entity, organization, or association beyond the contractual agreement for these

 

2. Basis of the Contract
2.1 Registration and Member ID
  • Registration Process:
    Members must complete the registration via SKAI1’s online platform and provide accurate, complete, and current personal data. Registration creates a Member profile with a unique Member ID, which is non-transferable. Membership is activated once registration is complete and confirmed by SKAI1.

  • Member ID:
    The Member ID is the unique identifier used to record Purchases, Rewards, and other activities. Members are solely responsible for safeguarding their Member ID.

2.2 Member Representations and Responsibilities
  • Accuracy of Data:
    Members warrant that all data provided upon registration and during the term of membership is correct, complete, and up-to-date. Members undertake to update SKAI1 immediately of any changes, such as address, email, bank details, or contact information.

  • Indemnification:
    Members agree to indemnify SKAI1 against damages, costs, or claims arising from false, incomplete, or outdated information provided by the Member.

2.3 Restrictions and Limitations
  • Single Registration:
    Each person or entity may register only once to prevent abuse of the system. Multiple registrations aimed at exploiting the Rewards Program may result in termination and revocation of all Rewards.

  • Identity Verification:
    SKAI1 has the right to request additional proof of identity or residence to verify compliance with registration rules.
     

3. Rewards Program
3.1 Earning Rewards
  • Members earn Rewards when making Purchases through SKAI1 or Partner Merchants, subject to specific criteria. These rewards can include Cashback, Loyalty Points, or promotional incentives. The details vary per Partner Merchant.

3.2 Partner Merchant Agreements
  • SKAI1 establishes contractual relationships with Partner Merchants, listing and updating these partners regularly online. Only Purchases made at listed Partner Merchants are eligible to earn Rewards.

3.3 Recording Purchases
  • Purchases can be recorded using the SKAI1 Card(virtual), via the SKAI1 mobile app, or through the Member’s online account. It is the Member’s responsibility to ensure Purchases are correctly recorded.

3.4 Data Reporting & Processing
  • Partner Merchants are obligated to report Purchase data to SKAI1 promptly. This report includes details necessary to calculate the Rewards owed. Delayed or incorrect reporting may affect Rewards crediting.

3.5 Accuracy & Validity of Rewards Data
  • SKAI1 explicitly disclaims responsibility for errors or delays attributable to Partner Merchants or technical failures beyond its control. Members should verify their recorded Purchases and Rewards in their online Accounts.

 

4. Online Shopping
4.1 Purchase Process
  • Members can select Partner Merchant online shops via the SKAI1 platform or app. Purchases should be completed with cookies enabled, and ad/script blockers disabled to ensure correct recording.

4.2 Cancellation, Withdrawal & Refunds
  • Members have the statutory right to cancel or withdraw from online Purchases within 14 days without penalty, provided the Purchase is in accordance with applicable laws.

  • Impact on Rewards :
    Rewards are only credited if he Purchase has been fully paid and the Member’s right to withdraw has expired. If a Member cancels within the cooling-off period or exercises their withdrawal rights, Rewards related to that Purchase will not be credited.

  • Member Responsibilities:
    It is the Member’s responsibility to follow the cancellation procedures outlined by the Partner Merchant. SKAI1 is not responsible for processing refunds or cancellations.

4.3 Eligible Purchases
  • Only Purchases made at Partner Merchants listed for the Member’s country (based on Member registration details) are eligible for

  • SKAI1 reserves the right to update the list of eligible Partner Merchants at any time without notice.

4.4 External Websites and Partner Merchants
  • SKAI1 does not control or endorse external Partner Merchant websites linked through its platform. It expressly disclaims responsibility for content, offers, or services on external sites and distances itself from any illegal or harmful content.
     

5. Rewards
5.1 Overview of Rewards
  • The types, conditions, and current status of Rewards (Cashback, Loyalty Points, Vouchers and other promotions) are listed on SKAi1 app.

  • Members are encouraged to regularly review these details.

5.2 Promotional and Special Promotions
  • During special promotions, SKAI1 may offer Rewards with different or enhanced conditions. These promotions are subject to separate terms which will be communicated clearly through official channels; only those rewards and conditions valid during the Promotion period shall apply.

5.3 Crediting Rewards
  • Rewards are credited only after SKAI1 receives confirmation from Partner Merchants that the Purchase was completed and paid in full. The reporting typically made at the end of every business day and reporting must occur within three months from Purchase date.

  • Accrual of Rewards : Rewards (Cashback or Loyalty Points) are only credited if the Purchase is legally settled and no cancellation rights are pending. Rewards will be credited to the Member’s account only after the Partner Merchant has reported the Purchase.

5.4 Rewards for International Purchases
  • Purchases made at Partner Merchants abroad may initially show as foreign currency amounts. These amounts will be automatically converted into the Member’s local currency based on the applicable system exchange rate at the time of payment settlement by the Partner Merchant.
     

6. Types of Rewards
6.1 Cashback
  • Cashback is a percentage of the Purchase amount, shown per Partner Merchant and product category.

  • Cashback acts as a discount and is credited to the Member’s account within a defined period. It can be used for future Purchases within the program.

6.2 Loyalty Points
  • Members earn Loyalty Points for each qualifying Purchase, based on conditions set by the Partner Merchant and the standard conversion basis.

  • Points are visible in the Member’s online account.

  • Points have no cash value, cannot be transferred or paid out for cash, and expire according to the schedule (e.g., collected will expire within one calendar year).
     

7. Personal Member Area
7.1 Access and Security
  • Members will be provided a personal account area within the app and website to review Transactions, Rewards, and account settings.

  • Members are responsible for maintaining the confidentiality of their login credentials (username, password, PIN).

  • SKAI1 shall not be liable for damages arising from misappropriation of login details due to Member negligence. Members must immediately notify SKAI1 if they suspect unauthorized access.

7.2 Account Management
  • Members can update personal data or security settings at any time through the online portal.

  • SKAI1 may revoke or block access immediately if misuse or suspicious activity is detected.
     

8. Change or Assignment of a Recommender
  • Members may change their Recommender (referrer) or assign a new Recommender by submitting a request, which requires the new Recommender’s explicit consent.

  • Recommenders are linked to Members based on the referral process and may influence other promotional or reward structures.

 

9. Data Protection
9.1 Data Collection and Processing
  • SKAI1 will process personal data necessary for executing the Rewards Program, including Purchase history, contact details, and user preferences, based on Member consent.

9.2 Member Rights
  • Members can request access to their stored data, request corrections or deletions, and revoke consent at any time by contacting SKAI1.

  • Data will be stored only as long as necessary to fulfill the purpose of the Rewards Program or as required by law. Once the purpose is fulfilled, personal data will be securely deleted.

  • Members can exercise their rights by contacting SKAI1 at the specified address: [Insert address], or via email: [Insert email].

9.3 Privacy Policy
  • Further details about data collection, processing, security measures, and Member rights are available in the Privacy Policy published

9.4 Data Security Measures
  • SKAI1 uses recognized encryption technologies, firewalls, and access controls to protect Member data from unauthorized access, alteration, or disclosure. Despite these measures, SKAI1 cannot guarantee the absolute security of data transmitted over the internet.
     

10. Disruption to Service
10.1 Scope of Service Limitations
  • SKAI1's obligation is to operate the Rewards Program as described. It does not guarantee uninterrupted access or availability of the platform, app, or services.

  • SKAI1 reserves the right to temporarily suspend or restrict access for maintenance or technical reasons without prior notice.

10.2 Liability for Partner Merchants
  • SKAI1 is not responsible for the performance, delivery, or contractual obligations of Partner Merchants. These are solely the responsibility of the respective Partner Merchant.
     

11. Liability
11.1 Liability for Intentional or Gross Negligence
  • SKAI1 shall be liable without limitation for damages resulting from intentional acts or gross negligence, including damages caused by its employees or authorized representatives.

11.2 Liability for Slight Negligence
  • SKAI1’s liability for simple negligence is limited to damages that are typical and foreseeable at the time of contract formation, specifically for breach of essential contractual obligations (“cardinal obligations”) that enable the proper execution of the contract.

11.3 Exclusion of Liability
  • SKAI1 shall not be liable for damages due to:

    • Interruptions to internet access or network failures outside its control.

    • Technical errors during the transmission of data or within the platform.

    • Failure of tracking mechanisms or data losses.

    • Mobile network outages or device issues.

11.4 Scope of Liability
  • The restrictions above apply equally to SKAI1’s employees, agents, and authorized representatives.

11.5 Legal Provisions
  • These limitations do not affect mandatory statutory liability under Malaysian law, such as liability for personal injury or gross negligence.
     

12. Termination by the Member
12.1 Procedure for Termination
  • Members may terminate their membership at any time in writing, sent via registered mail to the address specified in these Terms.

  • Upon termination, the Member shall no longer accrue new Rewards or Points, and existing Rewards or Points shall be subject to expiry according to the rules outlined below.

12.2 Effect on Rewards and Points
  • Rewards and Loyalty Points earned prior to termination remain eligible for redemption if Purchases related to those Rewards have been completed before termination.

  • Loyalty Points which have not been redeemed within 8 weeks after termination for valid reasons (e.g., termination for good cause) may be redeemed. Otherwise, they will expire.
     

13. Termination by SKAI1
13.1 Grounds and Procedure
  • SKAI1 may terminate the contractual relationship with the Member with a 30-day written notice or immediately for good cause (e.g., breach of obligations, illegal activity, fraud, or damage to SKAI1’s reputation).

  • Immediate termination can also occur if the Member commits serious breaches, such as providing false information or violating applicable laws.

13.2 Member’s Liability
  • The Member shall indemnify and hold SKAI1 harmless from damages, costs, and legal claims arising from breaches of the Terms.

13.3 Rewards Post-Termination
  • Rewards earned before Termination are payable within 8 weeks after termination; thereafter, any unredeemed Rewards or Points expire unless otherwise expressly agreed.
     

14. General Conditions
14.1 Claims and Rights
  • Claims against SKAI1 may not be transferred or used as collateral without prior written approval.

14.2 Relationship of the Parties
  • Participation in the Rewards Program does not create any legal partnership, agency, or employment relationship. It is purely contractual.

14.3 Deviations & Special Agreements
  • Any modifications to these Terms require written agreement or official confirmation from SKAI1.

  • Verbal agreements are non-binding unless confirmed in writing.

14.4 Amendments to Terms
  • SKAI1 reserves the right to update these Terms in writing via email or other electronic communication.

  • Such updates become effective unless the Member.

  • Object to the changes within 30 days of receipt. If the Member does not object within this period, the updates are deemed accepted. SKAI1 will explicitly notify the Member when amendments are made and that silence constitutes consent.

14.5 Gender and Language
  • Usage of gender-specific terms (e.g., "he" or "she") in these Terms is for simplicity and applies equally to all genders and legal entities.

14.6 Invalid Provisions
  • Should any provision of these Terms be or become invalid, illegal, or unenforceable, the remaining provisions shall remain fully effective. The invalid clause will be replaced with a valid provision that reflects the original intent.

14.7 Governing Law and Jurisdiction
  • These Terms are governed by EU law. Any disputes shall be subject to the exclusive jurisdiction of the courts in the European Union, and the UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.

14.8 Age Limitations and Consent
  • Participation is only permitted from the age of 18. For minors, the legal guardian’s explicit consent is required.

14.9 Member Responsibilities & Taxes
  • Members agree to bear all duties, taxes, fees, or levies related to the Rewards they receive. SKAI1 is not responsible for any tax liabilities.
     

15. Disclaimers
  • These Terms are initially drafted in English. Should conflicts arise with translations, the English version supersedes.

  • SKAI1 makes no guarantees regarding the availability, reliability, or security of the platform, Rewards, or Partner Merchants, and disclaims liability for damages caused by force majeure, third-party actions, or technical failures beyond its control.

Appendix 1 :

DEFINITION OF TERMS

  • Members: All natural persons or legal entities who have entered into a membership agreement with SKAI1 under these Terms.

  • Purchases: Transactions involving goods, services, travel, etc., at SKAI1 or Partner Merchants.

  • Partner Merchants: Companies with which SKAI1 has contractual relationships that enable Members to earn Rewards by purchasing their offerings.

  • Rewards: Rewards Members receive, including Cashback, Loyalty Points, discounts, or other incentives.

  • Rewards Program: The specific program operated by SKAI1 that enables Members to earn and redeem Rewards.

  • SKAI1 Card: A physical or virtual card used solely for recording Purchases, not for payment.

  • Member ID: Unique identifier assigned to each Member upon registration.

  • Cashback: A reward expressed as a percentage of Purchases, credited as a discount or credit.

  • Loyalty Points: Points credited based on Purchase amounts; they can be redeemed in the Benefit Lounge.

  • Logged-in Member Area: The online portal where Members can manage their account and view transactions.

  • Recommender: An individual or entity who refers a Member, potentially earning rewards or rewards from such referral.
